Advantages to Open a Company in the Czech Republic

The Czech Republic, which joined the European Union in 2004, is recognized as an optimal business environment for serving international customers. This is due to several factors, most notably the ongoing improvements to the business environment implemented by the Czech government and the country's foremost natural resource—intellectual capital—which effectively meets the needs of knowledge-based and innovation-driven businesses.
Limited Liability Protection:

One of the key benefits of forming a Limited Liability Company (LLC) is the protection it offers shareholders. The liability of shareholders is limited to the amount of their contribution to the company’s share capital. This effectively safeguards personal assets from the company’s debts and liabilities, providing significant peace of mind.

Low Minimum Share Capital:

The Czech Republic requires a minimal share capital investment, starting at 1 CZK. However, in practice, it is recommended to declare a share capital of 10 000 CZK to optimize business operations.

Versatility for Business Activities:

LLCs offer great versatility, allowing engagement in a broad spectrum of business activities. Whether your business operates in trading, services, manufacturing, or technology, this legal structure can accommodate your specific needs.

Simplified Registration and Governance:

The company registration process is straightforward and can be completed remotely via power of attorney or proxy, ensuring a smooth and efficient setup.

Strategic Location:

The Czech Republic’s strategic location within Europe provides excellent access to multiple key markets, enhancing opportunities for trade and business expansion.

Modern Infrastructure:

The country boasts a highly developed and modern infrastructure, serving as a hub for international trade routes and fostering seamless connectivity.

Skilled Workforce:

The Czech Republic offers a highly educated and well-trained workforce, making the recruitment of local employees a strong option for businesses seeking qualified talent.

Competitive Labor Costs:

Labor costs in the Czech Republic remain competitive compared to other European nations, providing cost-efficiency for businesses.

Favorable Tax Incentives:

A range of tax incentives aimed at attracting foreign investment make it easier for businesses to establish and grow operations in the country.

Step-by-Step Procedure of Company Incorporation

The following main forms of legal entities may be established in the Czech Republic:

General commercial partnership (veřejná obchodní společnost - v.o.s.);

Limited partnership (komanditní společnost - k.s.);

Joint stock company (akciová společnost - a.s.);

Limited liability company (LLC - společnost s ručením omezeným - s.r.o.).

This is a widely favored business entity, especially among small and medium-sized enterprises (SMEs). It offers a flexible and straightforward structure while providing limited liability protection to its owners, referred to as shareholders.

Basic documents required for company registration

The Czech Republic is distinguished by its stable political environment and business-friendly policies, making it an ideal foundation for your company’s operations.

On the first stage, it is required to provide KYC package:

A scanned copy or photo of a valid passport;

Personal identification card (ID) or driving license;

Proof of address;

Place of residence;

Completed questionnaire.

On the second stage, it is required to provide original documents’s package :

Power of attorney;

Affidavit;

Certificate of non-criminal record from the country of citizenship, issued within the last 3 months.

Please note, this list is not exhaustive and may be subject to change or supplementation depending on the specific case. Original documents must be certified in accordance with applicable law.

Initial steps

Decide on a Legal Structure and Choosing a Business Name

You need to ensure the name is unique and not already in use.

In practice: we request that you provide 2-3 preferred company names in order of priority. These names will be submitted for verification in coordination with the notary. If the selected name is approved, it will be reserved for your use.

Obtain Necessary Records and Documents

The process begins with obtaining your KYC police (or criminal, if applicable) records for any future managing directors, including their affidavit and power of attorney.

In practice: we provide you with document templates that must be completed and duly certified (either through apostille or legalization). Once completed, you will send the documents to us, and we will arrange for their translation into Czech before submitting them to the notary.

Gathering Necessary Documents

This includes the articles of association, proof of business address (having a physical or virtual office address is necessary for company formation).

In practice: From this point forward, no further action is required on your part. In coordination with the notary, we will handle the preparation of all corporate documents.

Notarial Deed

The incorporation documents must be verified by notary in the form of the notarial deed.

In practice: if your authorized capital exceeds 20 000 CZK, it will be necessary to open a deposit account in a Czech bank. This can be arranged in advance through coordination with the bank.

Register Your Company

Submit the application and required documents to the Commercial Register via the notary.

In practice: the notary conducts a final review of all documents and information, and subsequently uploads them to the Commercial Register, at which point the information becomes publicly accessible.

Tax Verification

In the Czech Republic there is an electronic system called DataBox, through which you need to register a company with the tax office.

In practice: following the completion of all the aforementioned steps, the Commercial Register will send you a physical letter containing your login details for DataBox. Please use them to complete verification.

Please note, that:

The company becomes a legal entity and can commence operations only after the above steps are completed and the company is registered with the Commercial Register.

After the incorporation, the newly established company shall maintain accurate bookkeeping and comply with tax and commercial registration obligations from the onset.

The managing director of the newly established Czech company will be provided with the access to the Data Box relating to the company. The Data Box system represents a cornerstone in the Czech Republic’s e-Government initiative, aiming to modernize and secure interactions between the state, businesses, and citizens.

Timeframe for Registration of Company in the Czech Republic

However, the document preparation phase, including the collection of necessary information, may extend the overall timeline. On average, the complete process, from initiation to final registration, can take between 4 to 6 weeks, assuming there are no complications or delays in preparing or submitting the required documentation.
